Consignment Terms and Conditions

  1. Right to Accept or Reject Consignments

    • Studio mm Limited reserves the right to decide whether to accept items for consignment.

    • Acceptance of consigned goods does not guarantee their successful sale.

    • Location of consignment and delivery point: S510, Block A, PMQ, 35 Aberdeen Street, Hong Kong
       

  2. Early Withdrawal of Consigned Items

    • If the consignor withdraws an item within one month of consignment, a handling fee of 10% of the consignment price will apply.

    • If the item has already been reserved or sold, it cannot be retrieved by the consignor.
       

  3. Right to Return Consigned Items

    • Studio mm Limited may return items to the consignor without providing a reason.

    • If the consignor fails to retrieve a returned item within 7 days of notification, Studio mm Limited may handle the item in any manner, including disposal, without explanation or compensation.
       

  4. Right to Accept or Reject ConsignmentsInspection Upon Retrieval

    • The consignor must inspect the item in person when retrieving it. Complaints made after retrieval will not be entertained.
       

  5. Force Majeure

    • Studio mm Limited is not responsible for the loss of consigned goods due to unforeseeable circumstances, such as war, civil unrest, or natural disasters.
       

  6. Responsibility for Loss or Theft

    • Studio mm Limited is not responsible for loss or theft during the consignment period.
       

  7. Amendments to Terms

    • Studio mm Limited reserves the right to amend the consignment terms without prior notice.

    • The latest version will be published on the website. Consignors continuing to consign items after the terms are updated are deemed to have accepted the revised terms.
       

  8. Final Interpretation

    • In case of disputes, Studio mm Limited retains the final right of interpretation for these consignment terms and reserves all associated rights.

Fees and Payment Terms

  1. Fees include rental, commission, and platform handling charges.
     

  2. Transactions can be completed in-store or shipped via SF Express (freight collect). Studio mm Limited will package items carefully, but if damage occurs due to packaging issues, the seller will be compensated 25% of the item's sale price. Damage caused by the courier will be handled by the courier company's compensation policy.
     

  3. Monthly sales figures are finalized on the last day of each month. Sales reports are sent via email by the 7th of the following month, and payment transfers are processed within 14 working days.

Product Eligibility

  1. Acceptable Products

    1. Consigned items must be handmade, self-branded, or officially authorized agency products.

    2. Products purchased from wholesale or online platforms (e.g., Taobao, Gmarket, Amazon etc.) are strictly prohibited. If such products are discovered or reported and confirmed, the consignment agreement will be terminated immediately without a refund.
       

  2. Disclaimer of Liability

    1. Studio mm Limited is not responsible for any losses incurred by the lessee.

    2. Lessees may not sublet their rented space or allow third parties or outsiders to use it.

    3. If the display harms the store's image and the lessee fails to make adjustments upon request, Studio mm Limited reserves the right to terminate the collaboration. In such cases, the lessee's deposit will be used to cover Studio mm Limited's losses.
       

  3. Post-Contract Obligations

    1. Upon contract termination, lessees must remove all goods, display tools, and decorations from the premises on the same day.

    2. Lessees must adhere to the designated area and complete setup, display, and booth disassembly/cleanup within the agreed time.
       

  4. Approval of Products

    1. All products sold on-site must be approved by Studio mm Limited.

    2. If unapproved products are found being sold, Studio mm Limited reserves the right to immediately terminate the booth usage without compensation.
       

  5. Restrictions on Promotional Activities

    1. Only pre-approved products may be promoted or displayed.

    2. No other promotional activities are allowed on-site without prior agreement.
       

  6. Final Decision Authority

    1. All arrangements are subject to Studio mm Limited's final decision, and lessees may not contest these decisions.

    2. Lessees must comply with all other rules and regulations set by Studio mm Limited.

Contract Term

  1. The contract term is either 3 months or 6 months.
     

  2. The charges for each plan are based on rent and closing commission.

Legal Responsibilities

  1. Relationship with Lessees

    1. Studio mm Limited and lessees are not in a partnership but maintain a lessee relationship.

    2. Lessees are responsible for handling after-sales issues, including quality problems or replacements.
       

  2. Compliance with Laws

    1. Lessees must ensure their products or services comply with Hong Kong SAR laws and assume legal responsibility for any related issues.

    2. If any displayed products or services cause damage to Studio mm Limited, the lessee must compensate for the damage and assume related liability.

    3. Lessees are responsible for damage to store equipment, theft, or accidents causing harm during the lease period. Studio mm Limited is not liable for such incidents.
       

  3. Intellectual Property

    1. Products sold must be original designs and comply with Hong Kong SAR copyright and intellectual property laws. Studio mm Limited will not be liable for losses or claims arising from violations of these laws.
       

  4. Confidentiality

    1. Lessees must keep the terms of this agreement and any operational information of Studio mm Limited confidential, including promotional activities organized by the store. This confidentiality obligation is valid for six months after the agreement ends.

    2. Lessees must ensure their employees adhere to this confidentiality clause. Studio mm Limited reserves the right to pursue action for any confidentiality breaches.
